ARTICLES OF INCORPORATION OF
The Temple of the Celestial Order
The undersigned, for the purpose of forming a corporation under the laws of the State of Nebraska, do hereby adopt the following articles of incorporation:
ARTICLE ONE
The name of the corporation is The Temple of the Celestial Order.
ARTICLE TWO
The corporation is a religious corporation.
ARTICLE THREE
The corporation will have members.
ARTICLE FOUR
DISSOLUTION
In the case of dissolution of the Temple of the Celestial Order, all properties and assets shall be distributed in accordance with section 501(c)(3) of the Internal Revenue Code, or to one or more public benefit or religious corporations.
ARTICLE FIVE
PURPOSE OR PURPOSES
The general purpose for which the corporation is organized is to teach and assist the community in spiritual growth.
ARTICLE SIX
REGISTERED OFFICE AND AGENT
The street address of the initial registered office of the corporation is 3112 North 97th Street, #132, Omaha, NE 68134, and the name of its initial registered agent at such address, is Rev. Renae D. Ross.
ARTICLE SEVEN
DIRECTORS
The number of directors constituting the initial board of directors of the corporation is 2.

AMENDED ARTICLES OF INCORPORATION FOR THE TEMPLE OF THE CELESTIAL ORDER
On July 10, 2000 at 5pm Central Time it was decided by the Celestial Board of Directors to amend their Articles of Incorporation to contain the following information:
“This corporation is organized exclusively for religious and educational purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.”
“No part of the net earnings of the corporation shall inure to the benefits of, or be distributable to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the above paragraph.”
“Notwithstanding any other provision of these Articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding Section of any future federal tax code, or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.”
THIS AMENDMENT WAS DECIDED BY QUORUM VOTE OF THE BOARD OF DIRECTORS, NO APPROVAL BY MEMBERS WAS NECESSARY.
